I. General Provisions
These Terms and Conditions of purchase and sale (hereinafter – the Terms) define the general rules and procedures for using the online store at medicata.eu (hereinafter – the Store).
The Terms apply when Buyers select, order, and purchase goods offered by the Seller in the Store or use the services provided by the Store.
The Store is an online retail shop intended for consumers purchasing goods for personal, family, or household needs, not related to business or profession.
The Store is operated by MB "Medicata Filia," legal entity code 304423328, registered address: Žarijų g. 2B, LT-02300 Vilnius, phone: +370 611 20924, email: info@medicata.lt.
The right to purchase in the Store is granted to any person registered with the Store system or shopping as a guest (hereinafter – the Buyer): 5.1. a legally capable natural person, i.e., one of legal age and whose legal capacity is not restricted by court; 5.2. a legal entity acting through an authorized representative.
By registering in the Store and/or placing an order, the Buyer confirms unconditionally that they have the right to shop in the Store.
The goods available for purchase in the Store are intended for the market of the Republic of Lithuania and are delivered only within its territory.
A Buyer does not have the right to place an order in the Store if they have not read or do not agree with the Terms. By placing an order, the Buyer is deemed to have read and agreed to the Terms.
Once the order is placed, the Terms become a Purchase-Sale Agreement between the Buyer and the Seller and are a binding legal document for both parties.
The Seller has the right to unilaterally change, amend, or supplement the Terms. The applicable Terms are those valid at the time the order is placed, so it is recommended that the Buyer reviews the Terms each time they shop.
The Seller has the right to: 11.1. limit the number of registered Buyers based on the Store's technical capabilities; 11.2. restrict or terminate a Buyer’s access without prior notice if the Buyer violates the Terms or endangers the Store's stability or security; 11.3. temporarily or permanently suspend Store operations without prior notice. In cases of force majeure, the Seller may suspend the contract execution until the force majeure circumstances cease and notify the Buyer of the suspension. If the later execution is no longer relevant to the Buyer, they may cancel the contract by informing the Seller. In the case of suspended activity but possible fulfillment of confirmed orders, all rights and obligations remain valid.
II. Registration, Login and Personal Data Processing
To use the Store and purchase goods, the Buyer may register by filling in the registration form or shop as a guest.
The following data must be provided in the purchase form: 2.1. name and surname or company name; 2.2. for legal entities – legal entity code and VAT code; 2.3. email address; 2.4. delivery address (except when picking up the goods in person); 2.5. contact phone number.
The Seller may require other information necessary for delivery.
The Buyer is responsible for ensuring that the provided data is accurate and enables full order execution. The Seller is not liable for incorrect data provided by the Buyer or resulting damages.
The Buyer undertakes to keep their login data (username and password) confidential. The Buyer is responsible for any actions performed using their login data. If login data is lost, the Buyer must notify the Seller within one (1) hour.
By registering, the Buyer authorizes the Seller to collect, store, use, and manage their personal data for purposes defined in these Terms, including sharing data with partners who help operate the Store or deliver goods.
The personal data provided by the Buyer will be processed according to EU regulations and the laws of the Republic of Lithuania, including organizational and technical measures for data protection.
Direct marketing will only be conducted with the Buyer’s explicit consent, provided via the registration form.
Personal data will be used only by the Seller and its partners managing the Store or delivering orders. Data may be disclosed only in legally permitted cases.
Personal data will be stored no longer than required and will be destroyed after the period expires according to legal and internal data management rules.
III. Product Prices, Discounts, Payments, and Terms
Products in the Store are displayed with a price per standard unit. The prices in the order placed in the Store are shown in euros, including VAT.
Discounts do not apply to products that are on sale or have promotional prices.
The Buyer may pay for selected products: 3.1. via the Buyer's online banking system at the time of purchase; 3.2. by bank transfer according to the proforma invoice issued at the time of purchase; 3.3. in person at the Seller's registered address.
If paying by bank transfer, the order is processed only after the payment is received for both the products and their delivery, unless otherwise agreed with the Seller. The payment is considered completed once the full amount is credited to the Seller’s bank account.
If the Buyer does not pay within 3 (three) business days from placing the order, the Seller has the right to cancel the order without prior notice.
IV. Product Quality Guarantee and Shelf Life
The characteristics of all products sold in the Store are generally provided in the product description. Product manufacturers and/or importers are responsible for the accuracy of this information, while the Seller is responsible for correctly presenting this information to consumers, unless otherwise specified by law.
The Seller is not responsible if the actual product color, shape, or other parameters differ from what is displayed due to the Buyer’s monitor settings or other technical reasons, as well as minor appearance discrepancies. If discrepancies are caused by the Seller or associated third parties, the Seller is liable.
The Seller confirms responsibility for selling the products ordered in the Store, proper delivery, quality, returns, and fulfillment of all other obligations as defined by legal regulations.
If the Seller does not offer additional warranties, the standard statutory guarantee applies.
V. Product Delivery and Pickup
Products purchased in the Store are delivered via the courier service chosen by the Buyer, except when the Buyer collects them in person. Delivery is available throughout the European Union.
Delivery time depends on the courier service. Typically, products are delivered within 2–5 business days if the order is placed and paid by 12:00 noon. However, the Seller does not guarantee this delivery time in all cases, especially if the products are out of stock, the Buyer provided incorrect details, or the delivery address is outside Lithuania.
Delivery rates: 3.1. In Lithuania, to SmartPost parcel terminals – €1.99; 3.2. In Lithuania, to the address specified by the customer via courier – €3.99; 3.3. Free delivery on orders over €30.
The Seller reserves the right to adjust delivery fees at their discretion.
The Buyer is informed via email when the order is confirmed and processed.
Products are handed over to the Buyer or their representative, who must meet the requirements outlined in these Terms.
Upon receiving the products, the Buyer checks the quantity and price and records any discrepancies or defects in the delivery documents.
VI. Contract Cancellation, Returns, and Exchanges
Products can be returned or exchanged according to Lithuanian law. The Buyer pays return shipping costs for products of satisfactory quality.
To return defective or satisfactory products, the Buyer must contact the Seller at info@medicata.lt and submit a written request including name, surname or company name, address, phone number, purchase date, product names, and quantities.
When returning products, the following conditions must be met: 3.1. The product must be in its original, undamaged packaging (not applicable for defective items); 3.2. The product must not be damaged by the Buyer; 3.3. The product must be unused and retain its commercial appearance (intact labels, seals, etc.) (not applicable for defective items); 3.4. The product must be returned with all components received; 3.5. A purchase receipt and completed return form must be included.
The Buyer must send or deliver the product to the Seller within 14 (fourteen) days of submitting the return request.
Products will be exchanged or a refund issued within 14 (fourteen) days of the return.
The Seller may withhold the refund until the returned product is received or the Buyer provides proof of return.
The Seller may refuse to accept the returned product if the return conditions are not met.
Returns can be delivered in person to Žarijų g. 2B, Vilnius, during business hours, or sent via courier.
VII. Communication
The Seller sends all messages and communicates using the email address or phone number provided in the Buyer's registration form.

VIII. Final Provisions
These Terms are prepared in accordance with the laws of the Republic of Lithuania.
Lithuanian law governs all relationships arising from these Terms.
In case of damage, the responsible party must compensate for direct losses as per Lithuanian law.
All disputes must be resolved through negotiations. The Buyer can also resolve disputes electronically without court involvement. The Buyer must contact the Seller in writing (by email) and submit a free-form claim identifying the product or service in question and stating their request. The Seller must respond within 14 (fourteen) days. If the Buyer is unsatisfied or receives no response, they may contact the State Consumer Rights Protection Authority (Vilniaus g. 25, 01402 Vilnius, email tarnyba@vvtat.lt, tel. +370 5 2626751, website vvtat.lt).
If negotiations fail, disputes are resolved in Lithuanian courts under applicable legislation.
When laws specify an expiration or best-before date for certain products, the Seller must ensure the Buyer has sufficient time to use the product before that date.
